This Registration Statement covers 1,000,000 shares of our common stock issuable pursuant to our Amended and Restated 1996 Incentive and Nonqualified Stock Option Plan and 250,000 shares of our common stock issued or issuable pursuant to our Amended and Restated 1996 Employee Stock Purchase Plan.
